Terms of Service
Definitions
In these Terms, the following words have these meanings:
Software - the Cellular web application at app.joincellular.com, the Cellular desktop and mobile applications, and any messaging channels you connect, such as WhatsApp, Telegram, or Slack.
Service - the health optimisation service delivered by Cellular, including coaching, health testing, product recommendations, a wearable device, course access, and community access. The specific deliverables depend on your tier, as described in the Service section.
Health Data - data related to your physical health, including wearable device data, blood and lab test results, body composition data, physique photos, glucose readings, and nutrition data.
Coach - an independent health professional contracted by Cellular to deliver the Service.
AI Features - features powered by artificial intelligence, including the AI concierge, lab report extraction, Cellular Age score, health forecasts, and physique analysis.
Content - anything you upload, create, or submit through the Software, including documents, images, messages, and feedback.
Third-party Provider - any external company whose services are used as part of the Software or Service, such as laboratories, wearable device manufacturers, data aggregators, and messaging services.
Quality commitment - the service commitment described in the Quality commitment section of these Terms.
Cellular report score - a composite score calculated from your blood panel and health test results, used to measure improvement over the course of your programme.
What Cellular is
These Terms are between Cellular Performance B.V., registered at the Dutch Chamber of Commerce under number 77705785, with its registered address at Herengracht 73H, 1015BD Amsterdam, The Netherlands ("Cellular", "we", "us", "our") and you ("you", "your"), the individual who accepts these Terms.
Cellular operates a health optimisation business. We provide software tools and coaching services to help you understand and improve your health.
Cellular has two components.
Software - the web app, desktop app, mobile app, and connected messaging channels. It collects and displays your health data, provides AI-powered insights, and tracks your progress.
Service - coaching and health testing. The specific deliverables depend on your tier, as described in the Service section.
Cellular is a technology company. We are not a healthcare provider. The Software and Service are not medical devices. We do not diagnose, treat, cure, or prevent any disease. We do not operate a pharmacy or sell medications.
You contract with Cellular only. Coaches, laboratories, and other providers involved in delivering the Service are contracted by us, not by you.
Medical disclaimer
Nothing provided through the Software, Service, Coaches, or AI Features is medical advice. All information, scores, insights, and recommendations are for educational and informational purposes only - not clinical assessments, diagnoses, or treatment plans.
Using Cellular does not create a doctor-patient or any other medical professional relationship between you and Cellular, its Coaches, or its AI Features.
Consult a qualified healthcare professional before making decisions about your health, diet, exercise, or supplementation. Cellular does not replace your doctor or any other medical professional. Do not disregard or delay seeking professional medical advice because of information provided by Cellular.
If you have a medical emergency, contact your local emergency services immediately. Do not use Cellular to seek emergency help.
Coaches provide health and lifestyle guidance. They do not diagnose medical conditions, prescribe medications, or provide medical treatment. Coaches are independent health professionals - not doctors or medical practitioners.
Your responsibility
You are responsible for giving Cellular and your Coach accurate, complete health information. Incomplete or inaccurate information affects the quality of your recommendations.
Before starting any new protocol, tell your Coach about allergies, medications, or medical conditions that could affect the recommendations you receive.
If your doctor gives you advice that conflicts with a recommendation from Cellular, a Coach, or an AI Feature, follow your doctor.
You make your own health decisions. Whether to follow coaching recommendations, take supplements, change your diet, or adjust your exercise is your choice and your responsibility.
Agreement to terms
You accept these Terms by ticking the checkbox on the payment page.
These Terms of Service and the Privacy Policy together form the full agreement between you and Cellular. No other documents apply unless we reference them here.
These Terms take effect the moment you accept them.
Agreeing to these Terms does not authorise us to process your Health Data. That consent is separate. You give it when you connect a wearable device, upload a lab report, or use a specific feature within the Software. The Privacy Policy explains each consent and how to withdraw it.
Eligibility
You must be at least 18 years old to use Cellular.
Access is by invitation only. We decide who to invite and can withdraw an invitation at any time.
Your account
You may only create one account. Do not register multiple accounts or let anyone create one on your behalf.
Cellular uses passwordless sign-in. You authenticate with Google, Apple, or a magic link sent to your email. There is no password to set or remember.
You are responsible for keeping your sign-in method secure. That means protecting the email, Google, or Apple account you use to access Cellular. If you suspect someone else has accessed your account, contact us at support@joincellular.com straight away.
The information in your account must be accurate and current. Update it when anything changes.
Your account is personal to you. Do not share your access or let anyone else use it.
The service
The Service is a health optimisation programme delivered by Cellular. It includes coaching, health testing, product recommendations, a wearable device, course access, and community access. The Service is available in two tiers.

Wearable device - your wearable device is a gift. You keep it regardless of whether you continue with Cellular. The manufacturer's warranty applies to the device, not ours. If you already own a compatible wearable (Oura Ring or WHOOP), €500 is deducted from your price.
Course and community - you receive lifetime access to the course and community for as long as the platform operates. If we move to a different course platform, you retain access.
Scheduling - coaching sessions are scheduled between you and your Coach. Cancel or reschedule at least 6 hours before the session. Sessions cancelled with less than 6 hours notice, or missed without notice, count as delivered.
Your participation - parts of the Service require your participation. This includes completing your intake form, attending coaching sessions, providing blood and stool samples, and connecting your wearable device. We cannot deliver the full Service without your cooperation.
Coaching
Your Coach analyses your Health Data, delivers coaching sessions, and creates personalised plans for nutrition, supplementation, routines, and training. Your Coach provides ongoing support via messaging between sessions.
Coaching is educational and informational. The medical disclaimer section of these Terms applies to all coaching without exception.
We may assign a different Coach to you if your current Coach becomes unavailable. We will notify you before any change takes effect.
Health testing
The Service includes blood panels and gut and microbiome tests. These are performed by licensed third-party laboratories and collection services.
Cellular arranges access to the testing provider. A Third-party Provider performs the sample collection and laboratory analysis.
The testing provider may require you to sign their own consent form before collection begins. That consent is between you and the provider.
Blood collection takes place at your home or in a clinic. Stool collection is self-administered at home using a kit provided by the testing provider.
Test results are uploaded to your account in the Software and analysed by your Coach. Your Coach reviews the results and incorporates them into your protocol.
You book your collection through Cellular's calendar. We coordinate with the testing provider to schedule it. You are responsible for attending at the scheduled time. If you miss a scheduled collection without giving at least 24 hours notice, the test counts as delivered.
The software
The Software collects, displays, and analyses your Health Data. You receive a personal, non-transferable licence to use the Software for the duration of your account.
Health Data - the Software connects to your wearable devices through a third-party data aggregator and syncs your Health Data, including sleep, activity, heart rate, HRV, body composition, glucose, and nutrition. Your data is displayed on your personal dashboard.
Lab reports - you upload blood test results and other lab reports as PDFs or images. The Software uses AI to extract biomarker names, values, and units from your reports and stores them as structured records.
AI concierge - the AI concierge answers your health questions using your profile, health data, biomarkers, and conversation history. It accepts text, voice notes, images, and documents. The AI concierge stores conversation memory to personalise responses over time. The AI concierge is powered by artificial intelligence and is not a medical professional.
Derived metrics - the Software calculates additional metrics from your data, including your Cellular Age (a composite biological age score), health forecasts, trends, and baselines. These are informational projections, not clinical assessments.
Physique analysis - you can upload body photos for composition analysis. The Software produces an estimated body fat range and composition notes. These are estimates, not precise measurements.
Messaging channels - you can connect WhatsApp, Telegram, or Slack to communicate with the AI concierge and your Coach through those channels. Messages sent through connected channels are processed and stored in the same way as in-app messages.
Data export - you can export your data at any time through the Software. The Privacy Policy describes the format and scope of exports.
Automated processing - the Software uses automated processing to suggest profile information and generate health insights. No automated processing has legal or similarly significant effects on you.
Availability - we do not guarantee that the Software will be available at all times. We may update, modify, or temporarily suspend the Software for maintenance, security, or improvement. We will notify you of planned downtime at least 24 hours in advance.
Your licence - your right to use the Software is personal and non-transferable. You may not sublicence, sell, or share access to the Software.
AI features and limits
Cellular uses artificial intelligence to power several features. When you interact with the AI concierge, receive health forecasts, or view AI-generated insights, you are interacting with automated systems, not humans.

AI outputs may be inaccurate, incomplete, or unsuitable for your circumstances. AI technology can produce errors, including incorrect values, missed context, and flawed reasoning. Always verify AI-generated information before acting on it.
AI outputs are informational estimates, not medical advice. The medical disclaimer section of these Terms applies to all AI features without exception.
Our current AI providers - Anthropic, OpenAI, Deepgram, and fal.ai - do not use your data to train their models. If we introduce any AI feature that uses your data for model improvement, we will ask for your separate, specific consent first.
Your Coach may review AI-generated content as part of the Service. This review does not constitute medical supervision or clinical validation.
Acceptable use
You agree to use the Software and Service in accordance with these Terms and all applicable laws.
You must not:
- Use Cellular for any unlawful purpose.
- Attempt to reverse engineer, decompile, or scrape the Software.
- Interfere with the Software's operation or security.
- Upload malicious content, including viruses or malware.
- Use AI Features to generate harmful, misleading, or illegal content.
- Misrepresent yourself or impersonate another person.
- Use the Software or Service to provide services to third parties.
- Resell, redistribute, or commercially exploit any part of the Software or Service.
We may suspend or terminate your account if you breach these rules, as described in the Termination section.
Your data
Your Health Data, Content, and personal information belong to you. Cellular does not claim ownership of any data you provide or that we collect on your behalf.
You grant Cellular a limited licence to use your data solely to operate and improve the Software and Service for you. This licence is non-exclusive, non-transferable, and ends when you delete your account.
We do not sell your data. We do not use your data for advertising.
Our Privacy Policy explains what data we collect, how we process it, who we share it with, and your rights under GDPR.
You can access, correct, export, and delete your data at any time through the Software or by contacting us at legal@joincellular.com. This includes AI conversation memories stored by the Software - you can request their deletion at any time.
Intellectual property
Cellular owns the Software, its design, source code, algorithms, branding, and all related intellectual property. Nothing in these Terms transfers ownership of any part of the platform to you.
Course content, training materials, community resources, and the methodologies and templates used in plans created by your Coach belong to Cellular. Your health data within those plans belongs to you, as described in the Your data section.
You receive a limited, personal, non-transferable licence to use the Software and access course content for the duration of your account. You may not copy, reproduce, distribute, or create derivative works from any Cellular materials.
If you share feedback or suggestions about the Software or Service, we may use them to improve Cellular without any obligation to you.
These Terms do not grant you any rights to Cellular's intellectual property beyond the limited licence described above.
Third-party services
The Software relies on third-party services to operate. When you use a feature that connects to an outside provider, that provider's own terms and privacy policy apply alongside these Terms.

Cellular is not liable for the availability, accuracy, or conduct of any third-party service.
Our Privacy Policy lists all third-party services and explains what data we share with each.
Quality commitment
If you complete the programme at the required adherence level and your Cellular report score does not improve, we provide additional service at no extra cost.
The quality commitment applies when you maintain 85% or higher compliance on the following tracked metrics throughout your programme.
- Sleep timing within your prescribed window
- Weekly activity targets met
- All scheduled coaching sessions attended
- All scheduled tests completed
- Wearable device connected and syncing throughout the programme
Improvement is determined by your Cellular report score, measured at the start and end of your programme (Core) or each quarter (Black). Your Coach reviews the scores with you and confirms the comparison.
If the quality commitment applies, the remedy depends on your tier.
Core - if your report score has not improved after 8 weeks at 85%+ adherence, we provide one additional testing round and four additional coaching sessions at no cost.
Black - if your report score has not improved after a quarter at 85%+ adherence, your next quarterly cycle is included at no additional cost.
The quality commitment does not apply if:
- You do not meet the 85% adherence criteria
- A medical condition outside the scope of the Service affects your results
- You do not complete all scheduled tests
- You do not provide accurate health information as required by these Terms
To claim, contact us at support@joincellular.com within 14 days of receiving your end-of-programme or end-of-quarter report. Your Coach and Cellular will review your adherence data and report scores together. If the criteria are met, we will arrange the additional service within 14 days of approval.
Payments and billing
Pricing - the Service is available in two tiers. Core costs €3,500 as a one-time payment. Black costs €12,000 per year.
Payment method - payments are processed by Stripe. We do not store your card number or banking details. Stripe provides us with a customer ID, subscription status, and billing metadata.
When payment is due - Core requires full payment before the Service begins. Black is billed at the start of each annual period.
Auto-renewal - Black renews automatically at the end of each 12-month period. After the initial term, your subscription converts to an indefinite contract. You can cancel with one month's notice through the same channel you used to subscribe.
Products and supplements - your Coach may recommend products, supplements, or other items as part of the Service. The cost of these items is not included in the price. You purchase them independently, at your own expense, from the supplier of your choice. These recommendations are educational and do not obligate you to buy anything.
14-day cooling-off period - you have 14 days after purchase to withdraw without giving a reason. To withdraw, contact us at support@joincellular.com or use the withdrawal button in the Software. We will confirm receipt of your withdrawal within 2 business days. A model withdrawal form is available on request.
Deductions on withdrawal - if you withdraw within the cooling-off period, we refund the full amount minus the value of any services already delivered and any goods already shipped. This includes coaching sessions attended, tests already performed, and the wearable device if shipped (deducted at device value). Tests that have not yet taken place are fully refundable.
Wearable deduction - if you already own a compatible wearable (Oura Ring or WHOOP), €500 is deducted from your price as described in the Service section.
No hidden fees - the price includes everything listed in the Service section for your tier. We will not charge you anything beyond the stated price without your consent.
Termination
You can terminate your account at any time through your profile settings or by contacting us at support@joincellular.com. No notice period required. Terminating your account is separate from cancelling a Black subscription, which requires one month's notice as described in the Payments and billing section.
After termination, you have 30 days to export your data through the Software. Once those 30 days pass, the export feature is no longer available to you.
Cellular may terminate your account if you breach these Terms. We will give you 14 days' written notice and an opportunity to fix the breach unless the breach requires immediate action.
We may terminate your account immediately and without notice for serious breaches. This includes fraud, illegal activity, or repeated violations of the acceptable use rules.
If you terminate during an active programme, no refund is given for services already delivered. The 14-day cooling-off period described in the Payments and billing section is the only refund mechanism.
After the 30-day export window, we delete your personal data within 90 days. Dutch law requires us to retain financial records for 7 years. The Privacy Policy describes our full retention and deletion process.
The following sections survive termination - Medical disclaimer, Your responsibility, Your data, Intellectual property, Limits and disclaimers, Governing law and disputes, and General provisions.
Limits and disclaimers
The Software is provided "as is" to the extent permitted by applicable law. We do not warrant that the Software will be uninterrupted, error-free, or free of harmful components. This does not affect your statutory rights as a consumer under Dutch and EU law, including your right to a service of satisfactory quality, fit for purpose, and as described.
Cellular's total liability to you for any claim arising from or related to these Terms, the Software, or the Service is limited to the total amount you paid to Cellular in the 12 months before the event giving rise to the claim.
We do not limit or exclude liability for death or personal injury caused by our negligence, fraud or intentional deceit, wilful misconduct, or gross negligence.
To the extent permitted by applicable law, Cellular is not liable for any indirect, incidental, or consequential damages. This includes loss of data, loss of profits, and loss of opportunity.
Nothing in these Terms limits or excludes liability that cannot lawfully be limited or excluded. If any limitation in these Terms is not permitted under the laws of your country of residence, that limitation does not apply to you. Your statutory consumer rights are not affected.
From December 2026, EU product liability law classifies software as a product. The liability limitations in these Terms do not override your rights under that law.
Changes to these terms
We may update these Terms from time to time. Non-material changes - formatting fixes, clarifications, typo corrections - take effect when published. Material changes require 30 days' advance notice before they take effect.
We will notify you of material changes by email and through the Software. The updated Terms will show a new effective date at the top of this page.
If you do not agree with a material change, you may terminate your account before the change takes effect. Material changes to pricing, liability, or data handling require your explicit acceptance before they apply to you.
Governing law and disputes
These Terms are governed by the laws of the Netherlands.
Any dispute arising from or relating to these Terms will be submitted to the competent court in Amsterdam, the Netherlands.
If you are a consumer resident in another country, you retain the protection of any mandatory provisions of the law of your country of residence that cannot be overridden by contract. Nothing in these Terms takes away consumer rights that apply to you by law.
For EU consumers, the European Commission provides an Online Dispute Resolution platform at https://ec.europa.eu/odr.
General provisions
If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
These Terms and the Privacy Policy constitute the entire agreement between you and Cellular regarding the Software and Service. They replace all prior discussions and agreements.
If we do not enforce a right or provision of these Terms, that does not waive our right to enforce it later.
We may assign these Terms to another entity - for example, in a merger or acquisition. We will notify you if this happens. You may not assign your rights or obligations under these Terms.
Cellular is not liable for delays or failures caused by events beyond our control, including natural disasters, pandemics, government actions, internet outages, or third-party service failures.
Section headings are for convenience only and do not affect the interpretation of these Terms.
